These Terms & Conditions ("Terms") govern your access to and use of the Neo AI Technologies platform, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company, organization, or other business entity, you confirm that you have the authority to accept these Terms on its behalf. In such cases, "you" and "your" refer to both you and the entity you represent.

Please read these Terms carefully before using our Service. If you do not agree with any part of these Terms, you should not access or use the Service.

Neo AI Technologies may introduce new features, functionality, enhancements, updates, or improvements to the Service from time to time. Unless otherwise stated, any new features or functionality added to the Service will be subject to these Terms.

You agree to use the Service at your own risk and in accordance with all applicable laws and regulations. Any violation of these Terms may result in the suspension or termination of your account and your access to the Service.

Neo AI Technologies reserves the right to update, modify, or change these Terms of Service from time to time. Where appropriate, updates may be made without prior notice. Any changes will take effect when the updated Terms are published on our website or made available through the Service. Your continued use of the Service after any changes are made constitutes your acceptance of the updated Terms.

Use Limitation

The Service is provided for use by businesses, organizations, and their authorized employees, administrators, and users for legitimate business and workforce management purposes.

You may not use the Service or any of its contents for any unauthorized, unlawful, or commercial purpose outside the intended use of the Service. You may not copy, reproduce, distribute, resell, or exploit any part of the Service or its contents for personal or commercial gain without the prior written permission of Neo AI Technologies.

Neo AI Technologies reserves the right to suspend or terminate access to the Service where we reasonably believe that the Service is being used in violation of these Terms or for any unauthorized or prohibited purpose.

Terms

• You must provide accurate and complete information when creating an account or using the Service, including your name, email address, phone number, company information, and any other information requested.
• You are responsible for maintaining the security and confidentiality of your account and password. You are responsible for all activities carried out through your account and should notify Neo AI Technologies immediately if you become aware of any unauthorized access.
• You may not use the Service for any illegal, unauthorized, fraudulent, or abusive purpose. You must comply with all applicable laws and regulations when using the Service.

Services

As long as you meet your payment obligations and comply with these Terms & Conditions, Neo AI Technologies will provide you with access to the Service for its intended business and workforce management purposes, including payroll, leave, attendance, and related HR functions.

By using the Service, you acknowledge that Neo AI Technologies is not acting as a fiduciary, legal, tax, or financial advisor to you or your business. Your use of the Service does not relieve you of your responsibility to comply with all applicable laws, regulations, and statutory requirements, or to maintain and retain appropriate records relating to your business and employee data.

You are responsible for obtaining and maintaining the internet connection and compatible devices required to access the Service. The availability and performance of online services may be affected by circumstances beyond our reasonable control, including internet connectivity issues, service interruptions, maintenance, or other technical difficulties. Neo AI Technologies will not be responsible for interruptions or delays resulting from such circumstances.

You are fully responsible for ensuring that all information and data you provide, submit, enter, or approve through the Service is accurate, complete, and up to date. This includes, but is not limited to, company information, employee information, payroll details, leave information, attendance records, and other data used by the Service. Neo AI Technologies will not be responsible for errors, losses, penalties, or other consequences arising from inaccurate, incomplete, or incorrect information provided by you or your authorized users.

Where Neo AI Technologies assists with setting up your account, any information entered during the setup process will be based on the information and data provided by you. You are responsible for reviewing your account and all relevant settings before using the Service, including payroll, employee, leave, attendance, and statutory settings, to ensure that the information is accurate and appropriate for your business requirements.

You are responsible for appointing and authorizing individuals within your organization who are permitted to access and use the Service on your behalf ("Authorized Users"). Depending on the permissions assigned to them, Authorized Users may be able to access, review, enter, modify, manage, or approve information through the Service.

You and your Authorized Users are responsible for maintaining the confidentiality and security of account credentials, including usernames, email addresses, passwords, and other authentication information. If you become aware of or suspect any unauthorized access to your account or that your login credentials have been compromised, you must notify Neo AI Technologies as soon as reasonably possible. Neo AI Technologies reserves the right to suspend or restrict access to the Service if we reasonably believe that an account or its security credentials have been compromised, misused, or accessed without authorization.

You are responsible for all activities carried out through your account by you or your Authorized Users and for ensuring that all Authorized Users comply with these Terms & Conditions.

Billing

At the end of each monthly billing period, your subscription charges will be calculated based on the total number of employees in your account, including both active and archived employees. The total number of employees will determine your monthly seat count and subscription charges.

If you have chosen to pay by credit card, your payment method will be charged automatically at the end of each billing period. If you have chosen to pay by bank transfer, an invoice will be issued and marked as due. Payment must be made within three (3) days from the invoice date.

Your latest subscription charges and billing information can be viewed through the Subscription Settings page of your account.

Additional employees added during the billing period will be included in the applicable billing calculation based on your subscription and per-employee pricing.

If a payment is unsuccessful or remains unpaid after the applicable payment due date, Neo AI Technologies may provide you with a grace period of three (3) days to settle the outstanding payment. If payment is not received within this period, Neo AI Technologies reserves the right to temporarily suspend or lock your account and restrict access to the Service until the outstanding payment has been settled.

Any account suspension or restriction due to non-payment does not release you from your obligation to pay any outstanding fees owed to Neo AI Technologies.

Liabilities

In order to use the Service, you must provide accurate, complete, and up-to-date information, including employee information, salary and wage details, payroll information, statutory contribution details, leave information, attendance records, and any other information required for the Service.

You are responsible for ensuring that all information provided to or entered into the Service is accurate, complete, and properly updated whenever changes occur. You should also review and verify all payroll calculations, statutory contributions, deductions, leave records, attendance records, and other information generated by the Service before processing payroll or making any statutory submissions.

Neo AI Technologies will not be liable for any penalties, fines, interest, charges, claims, losses, or other liabilities imposed by any government authority, statutory body, or third party arising from inaccurate, incomplete, outdated, or incorrect information provided or approved by you or your Authorized Users.

Neo AI Technologies will not be liable for any penalties, fines, interest, charges, or other liabilities resulting from underpayment, incorrect payment, or late payment of statutory contributions, taxes, or other statutory obligations where such issues arise from inaccurate information, incorrect settings, or information provided or approved by you or your Authorized Users.

You are responsible for ensuring that all statutory contributions, deductions, taxes, and other applicable payroll obligations are accurately calculated, reviewed, and submitted or paid on time. Any penalties, fines, interest, charges, or other liabilities imposed as a result of your failure to meet these obligations will be your sole responsibility.

You are also responsible for reviewing and verifying any banking or payment files generated through the Service before submitting them to your bank or payment provider. Neo AI Technologies will not be liable for any errors, penalties, fines, charges, losses, or other liabilities arising from incorrect information, incorrect settings, faulty banking or payment files, or your failure to review and verify such files before submission.

You agree to indemnify and hold harmless Neo AI Technologies from any claims, losses, damages, penalties, fines, costs, expenses, or liabilities arising from your inaccurate, incomplete, or unauthorized information, your misuse of the Service, your failure to review or verify information, or your breach of these Terms.

Disclaimer

Your use of the Service is entirely at your own risk. Neo AI Technologies provides software designed to assist with payroll, HR, leave, attendance, and related administrative processes. The Service is not intended to provide legal, tax, accounting, financial, employment, or other professional advice. Where professional advice is required, you should seek assistance from a qualified professional.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, Neo AI Technologies disclaims all express or implied warranties, including, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, availability, or suitability of the Service or any information generated by or made available through the Service.

While Neo AI Technologies takes reasonable measures to maintain the security and reliability of the Service, we do not warrant or guarantee that the Service will always be uninterrupted, error-free, secure, free from viruses or other harmful components, or that defects will be corrected. We also do not guarantee that the Service, its outputs, or any reports generated through the Service will always be accurate, complete, or suitable for your specific business or statutory requirements.

You acknowledge that it is your responsibility to review, verify, and confirm all payroll calculations, statutory contributions, tax information, attendance records, leave records, reports, and other information generated by the Service before relying on them for payroll processing, statutory submissions, or other business purposes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. By accessing or using the Service, you agree that any dispute, claim, or legal proceeding arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malaysia. You further agree not to commence or pursue any such action in any other jurisdiction and waive any objection based on venue or the convenience of the forum, to the fullest extent permitted by applicable law.

Modification

Neo AI Technologies reserves the right to modify, update, enhance, suspend, or discontinue the Service, or any part of the Service, whether temporarily or permanently, at any time.

Subscription fees, pricing, features, and functionality of the Service may be revised from time to time. Where reasonably practicable, we will provide at least thirty (30) days' prior notice of any material changes to subscription pricing through our website, the Service, or other appropriate communication channels.

Neo AI Technologies shall not be liable to you or any third party for any modification, enhancement, price adjustment, suspension, or discontinuance of the Service.

Termination

Neo AI Technologies reserves the right to suspend, restrict, or terminate your access to the Service, with or without prior notice, if we reasonably believe that you have violated these Terms, engaged in unlawful, fraudulent, or abusive activities, failed to pay applicable subscription fees, or used the Service in a manner that may harm Neo AI Technologies, the Service, or other users.

You may terminate your account and discontinue your use of the Service at any time. Upon termination, your right to access and use the Service will immediately cease, and you remain responsible for any outstanding fees or obligations incurred before the effective date of termination.

Termination or suspension of the Service shall not affect any rights, obligations, liabilities, or remedies that have accrued prior to the date of termination, including any provisions of these Terms that by their nature are intended to survive termination.
